Referral Partner Agreement
1.Parties and Purpose
This Referral Partner Agreement ("Agreement") is between 360WISE NETWORK LLC, a Florida limited liability company ("Company," "we," "us"), and the individual or entity who accepts these terms ("Referral Partner," "you").
The Company operates the 360WiSE® Referral Rewards Program (the "Program"), under which you may earn compensation for referring new paying members to either of the two qualifying MassMediaHub™ self-serve plans: the Public plan ($36/month) and the Professional Authority plan ($99/month) (each a "Qualifying Plan"). MassMediaHub™ and 360WiSE® are brands within the 360WiSE® architecture.
Plans not covered. The Institutional and Enterprise plans are not Qualifying Plans under this Agreement. Referrals of Institutional or Enterprise engagements are not covered by the standard commission schedule in Section 4 and are compensated, if at all, only under a separate written referral addendum executed by the Company for that specific engagement (see Section 4.6).
By enrolling in or participating in the Program, you agree to be bound by this Agreement.
2.What You Refer
You refer MassMediaHub™ memberships — the commercial product. You are not selling, granting, guaranteeing, or expediting 360WiSE® verification, which is earned solely by passing the Company's verification checks and can never be purchased, promised, or accelerated through a referral. You may not state or imply otherwise (see Section 9).
3.Definitions
Referred Client — a new customer who subscribes to a Qualifying Plan and whose subscription is attributed to you by the Company's referral tracking platform (currently administered through the Company's Stripe account and its referral software).
Attribution — a referral is credited to you when a new customer reaches checkout through your unique referral link or code and the tracking platform records you as the referring partner, subject to the platform's attribution window. The tracking platform's records are the controlling record of attribution.
Settled Payment — a monthly subscription payment from a Referred Client that has been successfully charged, has cleared, has passed any applicable refund window, and has not been refunded, reversed, disputed, or charged back.
Active Subscriber — a Referred Client whose Qualifying Plan subscription is current and in good standing (not canceled, lapsed, paused, or in failed-payment status).
One Month's Subscription — the standard published monthly price of the Qualifying Plan the Referred Client is on ($36 for Public, $99 for Professional Authority), exclusive of any enrollment, onboarding, or setup fee and any tax.
4.Commission Structure
Commissions apply only to a Qualifying Plan (Public $36/month or Professional Authority $99/month) and only to directly Referred Clients. The structure is:
4.1 One-Time Referral Commission — One Month's Subscription.
When a Referred Client completes three (3) consecutive Settled Payments, you earn a one-time commission equal to One Month's Subscription for that client's plan, earned as of the third Settled Payment:

No commission is earned on a Referred Client who does not reach three Settled Payments.
4.2 Recurring Residual — 10%, capped at 24 months.
Beginning with the Referred Client's fourth (4th) Settled Payment, you earn a recurring residual equal to 10% of the subscription amount actually collected for each month the Referred Client remains an Active Subscriber:

The residual is paid for a maximum of twenty-four (24) monthly residual payments (i.e., the Referred Client's 4th through 27th Settled Payment). After 24 residual payments, residuals cease, even if the Referred Client remains active.
4.3 Recurring subscription only — fees excluded.
All commissions are calculated on recurring monthly subscription payments only. Any one-time enrollment, onboarding, setup, or activation fee charged to a member is retained in full by the Company and earns no referral commission. If a Referred Client upgrades or downgrades between Qualifying Plans, commissions follow the plan actually being paid for that month.
4.4 No double commission.
The one-time commission (earned at the 3rd Settled Payment) and the residual (beginning at the 4th Settled Payment) never overlap on the same month.
4.5 Single level only.
You earn only on clients you directly refer. The Program pays no compensation for referring other Referral Partners, and no compensation flows from the referrals of anyone you recruit. This is a single-level referral program, not a multi-level or network-marketing program.
4.6 Institutional and Enterprise referrals — separate addendum only.
The standard commission schedule above does not apply to Institutional or Enterprise plans. Because those engagements are individually priced and negotiated, any compensation for referring them is set per engagement under a separate written referral addendum executed by the Company, sized to that specific deal. Absent such a signed addendum, no commission is owed on an Institutional or Enterprise referral.
Refer one client to the Public ($36) or Professional Authority ($99) plan. When they complete three successful monthly payments, you earn one month's subscription as a one-time commission ($36 or $99). Beginning with their fourth monthly payment, you earn a 10% recurring residual for as long as they remain active, up to 24 months. Enterprise and Institutional referrals are rewarded separately, by their own agreement.
5.Payment of Commissions
5.1 Commissions are calculated and paid through the Company's referral tracking platform.
5.2 Earned commissions are paid on a monthly cycle, approximately net thirty (30) days after the close of the month in which they were earned, allowing time for refund and chargeback windows to clear.
5.3 A minimum payout threshold of $50 applies; balances below the threshold roll forward to the next cycle.
5.4 Payouts are made by the method supported by the tracking platform (e.g., PayPal, Wise, or Stripe). You are responsible for maintaining accurate payout details.
5.5 No commission is earned or payable on any payment that is not a Settled Payment.
6.Refunds, Chargebacks, and Clawbacks
6.1 If a payment that triggered a commission is later refunded, reversed, disputed, or charged back, the related commission is reversed. Reversed amounts are deducted from your next payout or, if no payout is pending, are recoverable as a balance owed.
6.2 If a Referred Client's third payment is later refunded or charged back, the one-time commission ($36 or $99, per the client's plan) is clawed back and the referral no longer qualifies unless and until three Settled Payments are again satisfied.
6.3 A canceled or lapsed subscription ends residual eligibility as of the last Settled Payment.
7.Taxes
7.1 You are an independent contractor and are solely responsible for all taxes on amounts you earn.
7.2 You must submit a completed IRS Form W-9 (or W-8 for non-U.S. partners) before any commission is paid. No payout will be issued until valid tax documentation is on file.
7.3 The Company will issue a Form 1099-NEC where required by law (generally when annual payments reach $600 or more).
8.Relationship of the Parties
You are an independent contractor. This Agreement does not create an employment, partnership, joint-venture, or agency relationship. You have no authority to bind the Company, make representations on its behalf, set pricing, or modify any membership terms.
9.Partner Conduct and Compliance
You agree that you will not:
- a. State or imply that 360WiSE® verification can be bought, guaranteed, expedited, or influenced by a referral, payment, or relationship with you;
- b. Make false, misleading, or unsubstantiated claims about the Company, MassMediaHub™, 360WiSE®, or any membership benefit, or promise outcomes the Company has not published;
- c. Engage in spam, unsolicited bulk messaging, or any conduct violating the CAN-SPAM Act, TCPA, or other applicable law;
- d. Refer yourself, your own accounts, or accounts you control, or arrange referrals designed to game the qualification gates;
- e. Use the Company's trademarks except as expressly permitted, or bid on the Company's brand terms in paid search without written permission;
- f. Misrepresent your relationship with the Company.
FTC disclosure. You must clearly and conspicuously disclose your material connection (that you earn a commission) whenever you recommend the membership, consistent with FTC endorsement guidelines.
Violation of this Section is grounds for immediate termination and forfeiture of unpaid commissions.
10.Term, Termination, and Effect
10.1 This Agreement begins when you accept it and continues until terminated.
10.2 Either party may terminate at any time, with or without cause, on written notice (email is sufficient).
10.3 On termination, commissions already earned and not subject to clawback through the termination date will be paid on the normal cycle. Future residuals stop on termination — the residual is conditioned on your continued participation in good standing under this Agreement.
10.4 Termination for breach of Section 9 may result in forfeiture of unpaid commissions.
11.Changes to the Program
The Company may modify, suspend, or discontinue the Program, or change commission rates, gates, caps, or terms, on notice. Changes apply prospectively. Commissions already earned under the prior terms are honored; the terms in effect when a Referred Client's payment is collected govern that payment.
12.No Earnings Guarantee; Limitation of Liability
12.1 The Company makes no guarantee of any earnings. Your results depend entirely on your own efforts and on clients you refer remaining active.
12.2 To the maximum extent permitted by law, the Company's total liability under this Agreement is limited to the commissions actually owed and unpaid to you. The Company is not liable for indirect, incidental, or consequential damages.
13.Confidentiality
Non-public information the Company shares with you about pricing, roadmap, members, or the Program is confidential and may not be disclosed or used outside the Program.
14.Governing Law
This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules. Venue for any dispute lies in the state or federal courts located in Miami-Dade County, Florida.
15.Entire Agreement; Acceptance
This Agreement is the entire agreement between the parties on the Program and supersedes prior discussions. If any provision is unenforceable, the rest remains in effect. Electronic acceptance (checking the acceptance box or signing electronically) is binding.

By enrolling in the 360WiSE® Referral Rewards Program, I confirm that I have read, understood, and agree to this Agreement, and that the tax and payout information I provide is accurate.
